Default Pra By-law's For Chapter's

Guess they are a JOKE! As I am a PRA Member wonder if Sherri Lewis was at the time of Elcetion's for Sunstate I doubt it. mj

I dont regret not being elected it was the way the Election was held.
Not that I lost I could handle that, it was done without my presece (which is Two Votes on the Board) and to someone who is not a PRA Member. Very Under handed if you ask me. Ernie Boyette holding the Vote Count, who is not a Sunstate Board Please. I love you all and my Members are the top of my wish list, that is why I give!

Mary Jane, I don't know how many other Dean's you could be addressing so I'm taking the chance that you are asking what my opinion is.

Well, I'm a long ways from the action and have had to read between the lines. I'm still not clear on what took place. Sunstate, and a couple of other PRA chapters, share a unique situation of being associated with more than one organization. Consequently, I suspect that the by-laws for the different organizations come into conflict occasionally. And I don't want to start a family rukus but tell Catfish that I disagree on the by-laws! That is if they are written any where close to what the PRA provides the chapters as an example.

The by-laws usually state just how the organization is to be governed by the officers. If this election violated the by-laws then I would say that someone has the right to challenge it. I haven't seen Sunstate's by-laws but if nothing else I would think that this would be a good time to review them for clarification and updating. In fact it has been suggested that the PRA do the same.

I'm biased, of course, but I think that our local Chapter 62 has a very good set of by-laws. It provides for by-law reviewed in January of odd number years so '07 is the year! That does not mean that they can't be modified at other times. These by-laws also have a section that tracks any changes so if there is any question as to how the present ones evolved there will be a history.

Okay, I've read all the posts. I feel like I just walked into a room after a joke was told, heard the punch line, and missed the joke.

Would someone mind telling what happened in the Sunstate election?
Who: Who won, who lost
What: Election for what offices?
When: When was it held?
Where? Where was it held?
Why: Was it a special election or annual one?
How: Precisely what is the problem with this election?

And opinions: Whose ox was gored?

Our By law are FLAWED to wit-- we have 4 board of director positions
3 were held by 2 people MJ and Carfish 1 by David Seace. They could be interpeded to mean ONLY the the BOD could vote! And more importantly it allows for a DICTATORSHIP to exist. This surfaced when Carfish and MJ (thinking they were a majority) send me Ernie Boyette and Scott Lewis, a registered letter stating that the BOD by a majority vote had EXPELLED me and Scott from the club!
These type of by-laws will not work in the real world! we NOW have from EAA a set of BY-laws to model SunState after, There will be a special meeting of the NEW BOD, 9 members to correct this problem! NEVER again will only 2 people have what they think is the final say, but will be run the way a club should be run!

In my earlier post in this thread I failed to pick up on a couple of things. I did mention that Sunstate is a unique club since it apparently is chartered by both the PRA and the EAA.

I don't know what the requirements are for being issued a charter in the EAA but the PRA requires a minimum of 5 PRA members and 3 Chapter elected officers; ALL officers are to be PRA members. If all of PRA Chapter 26's officers are not PRA members then Sunstate you have a problem! And consequently so does the PRA. Big time ouch!

The PRA by-laws and the sample by-laws that are sent to prospective chapters require that a quorum be met in order to have a legal meeting. This is just common sense.

The PRA BOD quorum is set at a simple majority of board members. The Chapter 62 by-laws, which I'm most familiar with, sets a quorum at 1/3 of the paid membership. Do the Sunstate by-laws have the quorum requirement? And if so was it met for the meeting that the vote took place?

If the minute was writen, a new meeting should be in order, canceling the effects of the prior.
If not, an adendum can be writen and the situation corrected right on paper no need for another meeting.
Right now we need to look for some soul balm for those in need!
